Public offer agreement
This Public Offer Agreement (hereinafter referred to as the "Agreement") is an official offer to sell goods through the online store nb.in.ua (hereinafter referred to as the "Seller"), for any individual who intends to purchase goods posted on the website https://nb.in.ua (hereinafter referred to as the "Buyer").
This Agreement is a public offer in accordance with Articles 633 and 641 of the Civil Code of Ukraine and contains all the essential terms and conditions for organizing the sale and purchase of goods remotely through the online store nb.in.ua.
1. General Provisions
1.1. This Agreement is a public offer and does not require signature by the Parties.
1.2. By placing an order on the website https://nb.in.ua, the Buyer signifies full and unconditional acceptance of the terms of this Agreement.
1.3. The Buyer confirms that, at the time of placing the order, he/she has read the terms of this Agreement, the terms of payment, delivery, return of goods, and the privacy policy posted on the Seller's website.
2. Subject of the agreement
2.1. The Seller undertakes to transfer ownership of the goods selected by the Buyer on the website https://nb.in.ua to the Buyer, and the Buyer undertakes to pay for and accept the goods under the terms of this Agreement.
2.2. The name, assortment, quantity, size, price, and other characteristics of the product are indicated on the page of the corresponding product in the shopping cart and are confirmed by the Buyer when placing the order.
2.3. The product information posted on the nb.in.ua website is for informational purposes only and may be updated by the Seller upon order confirmation.
3. Ordering procedure
3.1. The order is placed by the Buyer independently through the online store website https://nb.in.ua or by other means available on the website.
3.2. When placing an order, the Buyer is obliged to provide accurate information necessary for processing, confirmation, payment, and delivery of the order.
3.3. The Seller reserves the right to clarify order details, product availability, size, payment method, and delivery information by contacting the Buyer using the contact information provided.
3.4. The Seller has the right to refuse to process or fulfill an order if the Buyer has provided inaccurate, incomplete, or incorrect information.
4. Product price and payment procedure
4.1. The price of the product is indicated on the website https://nb.in.ua in the national currency of Ukraine.
4.2. The Seller reserves the right to change product prices unilaterally. However, the price of a product confirmed by the Seller in an already placed order remains unchanged, except in the event of a technical error on the website.
4.3. Payment for the goods is made by the Buyer using one of the methods available on the website or agreed upon with the Seller when confirming the order.
4.4. The Buyer's obligation to pay for the goods is considered fulfilled from the moment the funds are received in the Seller's account or from the moment the goods are paid for by another agreed method.
5. Delivery of goods
5.1. Delivery of goods is carried out throughout Ukraine by delivery services or by another method specified on the website or agreed upon with the Buyer.
5.2. Delivery times depend on the region, the selected delivery method, the delivery service's operating hours, and product availability.
5.3. The buyer must inspect the product upon receipt, check its completeness, external condition and compliance with the order.
5.4. The risk of accidental damage to or loss of the goods passes to the Buyer from the moment of actual receipt of the goods by the Buyer or his authorized person.
6. Rights and obligations of the parties
6.1. The Seller undertakes to:
- transfer the goods to the Buyer in accordance with the terms of this Agreement and the confirmed order;
- provide the Buyer with the necessary information about the product, its main characteristics, terms of payment, delivery and return;
- Process the Buyer's personal data in accordance with Ukrainian legislation and the Privacy Policy posted on the website.
6.2. The Buyer undertakes to:
- provide reliable information necessary for placing, paying for and delivering the order;
- pay for the goods under the terms of this Agreement;
- accept the goods in the agreed manner and check them upon receipt.
6.3. The seller has the right:
- clarify the information provided by the Buyer when placing an order;
- refuse to fulfill an order if the product is unavailable, there is a technical error on the website, or the Buyer provides false information;
- make changes to the product range, prices, payment and delivery terms posted on the website.
7. Responsibilities of the parties
7.1. The Parties shall be liable for failure to fulfill or improper fulfillment of the terms of this Agreement in accordance with the current legislation of Ukraine.
7.2. The Seller shall not be liable for failure to fulfill an order, delayed delivery, or other consequences caused by the Buyer providing inaccurate or incomplete information.
7.3. The Seller shall not be liable for the operation of delivery services, banking institutions, payment services, telecom operators, and other third parties not under the direct control of the Seller.
7.4. In the event of force majeure circumstances, the Parties shall be released from liability for failure to fulfill obligations for the duration of such circumstances.
8. Return and exchange of goods
8.1. The buyer has the right to return or exchange goods in accordance with the requirements of the current legislation of Ukraine.
8.2. Return of goods of proper quality is possible within 14 calendar days from the date of receipt of the goods, if the goods have not been used, their presentation, consumer properties, packaging, labels and documents confirming the purchase have been preserved.
8.3. Return of goods is carried out at the expense of the Buyer, unless otherwise provided by law or separately agreed with the Seller.
8.4. Goods that are not subject to return or exchange in accordance with the legislation of Ukraine are not subject to return or exchange.
9. Confidentiality and protection of personal data
9.1. By placing an order on the website https://nb.in.ua , the Buyer consents to the Seller processing their personal data for the purpose of processing, confirming, paying for, delivering the order, communicating with the Buyer, and fulfilling the terms of this Agreement.
9.2. The Seller processes the Buyer's personal data in accordance with the Law of Ukraine "On the Protection of Personal Data" and the Privacy Policy posted on the website www.nb.in.ua.
9.3. The Seller undertakes not to disclose the Buyer's personal data to third parties except in cases necessary to fulfill the order, deliver the goods, process the payment, or in cases expressly provided for by the current legislation of Ukraine.
10. Other conditions
10.1. All disputes and disagreements arising between the Parties in connection with the execution of this Agreement shall be resolved through negotiations.
10.2. If it is impossible to resolve a dispute through negotiations, the dispute shall be considered in accordance with the current legislation of Ukraine.
10.3. The Seller has the right to amend this Agreement unilaterally by posting a new version of the Agreement on the website https://nb.in.ua .
10.4. The new version of the Agreement shall enter into force from the moment of its posting on the website, unless otherwise specified in the text of the Agreement.
